Refundable Samples Creator Terms & Conditions

Introduction

The Refundable Sample program (“Program”) is offered by TikTok Pte. Ltd., which is a company registered in the Republic of Singapore (“TikTok”, “we”, “our”, “us”). By participating in the Program, eligible creators can purchase and potentially receive refunds for sample products, subject to these Program Terms and Conditions. These Program Terms and Conditions are subject to, and incorporate by reference, the , , , and any other applicable TikTok Shop policies and guidelines as may be updated or amended from time to time (collectively, “Online Terms”). The terms “you” and “your” throughout these Program Terms and Conditions refer to any eligible creator. 

Participant Eligibility
1. The Program is open to all content creators who are invited to participate in the Program and meet the specified criteria outlined below:
  1. you must be at least 18 years old and reside in Vietnam; and
  2. you are a qualifying and active TikTok Shop e-commerce creator.

If you meet the above criteria, you shall be considered an "Eligible Creator".

Program Structure
1. General.
  1. Eligible Creators may purchase products that sellers on TikTok Shop ("Sellers") allow refunds for, so long as you meet the relevant Seller's Refund Criteria.
2. Purchasing Flow
  1. Eligible Creators must access and view products eligible for product sample refunds through the Creator Product Marketplace. If an Eligible Creator makes a purchase through the buyer experience on TikTok Shop by using "add-to-cart" or "buy-now", then the Program shall not apply to any such purchase.
  2. Eligible Creators may only buy one product that is eligible for a refund (one Stock Keeping Unit ("SKU") at a time) in order to benefit from the Program. If an Eligible Creator purchases two products in a single-cart order, even if such products were marked as eligible for a refund, such single-cart order will be treated as a regular purchase, and the Program shall not apply.
  3. Only one sample order is allowed at a time (between free samples and refundable samples):
    1. If a free sample request is active for a particular product, a refundable sample of the same product cannot be purchased unless the request is withdrawn, rejected, or expired.
    2. If a refundable sample is purchased, a free sample of the same product cannot be requested unless the Refund Criteria (see below) has not been met, or a return/refund is initiated.
  4. All eligible TikTok Shop buyer promotions can be applied to products purchased in the Creator Product Marketplace, including to products that are eligible for a refund.
  5. Orders can be cancelled and addresses changed like a regular purchase order.
  6. Returns or refunds can be initiated within the aftersales window. Once a return or refund is initiated, the refundable sample criteria will be cancelled regardless of the outcome.
  7. No commission will be earned by creators for Refundable Sample product orders purchased by Eligible Creators.
3. Refund Criteria
  1. General.
    1. Seller will provide Eligible Creators with a refund for the product sample if the Eligible Creator meets the refund criteria, defined as sales criteria (together, the "Refund Criteria").
  2. Sales Criteria
    1. Generate the required number of sales orders according to Sellers' criteria within 60 days of receiving the sample product (the "Posting Timeline").
    2. Sales orders can come from short videos, LIVE sessions, showcases, or affiliate link shares.
    3. Sales orders must pass the settlement period to be counted as valid.
    4. Settlement periods vary by country and seller types.
    5. Self-purchases by the creator will not count toward the Refund Criteria.
4. Refund Flow
  1. If the Refund Criteria is fulfilled:
    1. Once the Refund Criteria is met, a refund equivalent to the purchase of the product purchased by the Eligible Creator will be initiated.
    2. Refunds will be deposited in the original form of payment; if there are issues with the original form of payment, the refund can be deposited into the Eligible Creator's TikTok Shop credit account.
    3. Typically, refunds take 5-10 business days to appear in creators' bank accounts, subject to additional terms.
    4. Creators will receive a refund equivalent to the actual purchase price of the refundable product actually paid by the creator.
    5. If a coupon was used for the purchase, the coupon will be made available again to the creator for re-use, unless the coupon has already expired. Where the coupon has expired, its amount will be deducted from the refund amount and the Creator will not be entitled to any compensation in this regard. Such coupon will be subject to the original terms and conditions of that coupon.
  2. If the Refund Criteria is not achieved:
    1. If the Refund Criteria is not met, Eligible Creators may still request a refund, but refunds are subject to Seller approval and are not guaranteed.
    2. Creators can choose to purchase the sample product again or request a free sample from Sellers again.
5. Other Cases
  1. If products become temporarily unavailable due to:
    1. them being out of stock;
    2. negative reviews; and/or
    3. expired open collaboration,

the Posting Timeline will pause for 10 days.

If products become available again after 10 days, the Posting Timeline shall resume.
If products are still unavailable after 10 days, a refund will be automatically processed.
A refund will be automatically processed, if products become permanently unavailable due to:
1. permanent ban by TikTok Shop due to violation of our applicable policies or guidelines;
2. permanent shop ban by TikTok Shop due to violation of our applicable policies or guidelines;
3. Seller closing their shop on TikTok Shop; and/or
4. Seller delisting products from TikTok Shop.

Termination or Modification.
1. TikTok reserves the right to terminate, modify, or suspend the Program at any time and for any reason, including, but not limited to, due to changes or modifications to TikTok Shop creator eligibility or Program structure. The termination will in no way be of prejudice to those rights already earned by the Creator at the date of termination.
2. We will also give you reasonable advance notice, in a transparent manner, of significant changes which will impact you and the date that they will come into force. The changes will only apply to our relationship going forward.
3. The Program has no termination or end date, and will continue until we terminate the Program, subject to clause 3(a).
Compliance with Program Terms and Conditions and Online Terms:
1. You must comply with the terms outlined in these Program Terms and Conditions and the Online Terms.
2. Violation of the Program Terms and Conditions and/or the Online Terms may result in the forfeiture of the refund and/or the termination of your participation in the Program.
